Sales Policies and Condition
Scorpion Sports, Inc. sells only to legitimate Powersports Businesses that are authorized dealers for Scorpion Sports,Inc. Dealers must have a licensed place of business, open to the public during normal business hours and serving thepublic in any and all areas of the Powersports Business. We reserve the right to qualify and/or deny any account seekingto purchase products and become an authorized Scorpion Dealer.
MAP Policy: (Manufacturer’s Advertised Price Policy)
Scorpion Sports, Inc. strictly, unilaterally and uniformly enforces an internet and mail-order minimum resale price policy.

Dealers may not offer or sell Scorpion Sports, Inc. products on any website without the written consent of Scorpion
Authorized dealers selling or posting Scorpion Sports, Inc. products or logos online, must comply with all aforementioned
policies and have a verifiable physical business address.
Payment Terms: CREDIT/DEBIT CARD, COD OR NET
All orders are to be paid for by credit/debit card, COD, or on NET (Open) Account if the dealer has requested NET terms.
Dealers desiring an open account must complete a credit application. Normal approval time for credit applications is 10
days. All NET (Open) Account Invoices are due by the 10th of the following month in Santa Fe Springs, CA. Interest will
be charged on past due balances at a rate not to exceed the applicable state rate or 1.5% per month, whichever is less.
Discontinued and closeout merchandise cannot be returned; however, these products are still covered by warranty, as
long as it is purchased within the product’s stated warranty period, and under Scorpion Sports’ discretion.
Scorpion will ship by ground freight via the most efficient common carrier, unless other arrangements are made in advance.
We will ship by the most reasonable means according to size and weight of your order. Deliveries by common carrier are
F.O.B. shipping point. We assume no responsibility beyond delivery to carrier in good order and are not responsible for
loss, damage or delay occurring thereafter.
Free freight for the continental US (excludes Hawaii and Alaska) will be extended for shippable orders over $300.00. Drop
Ships will be charged additional freight, plus sales tax if shipped to a customer in the state of California.
Damage Claims and Shortages:
All goods are carefully packed in good condition when shipped. Claims for goods damaged in transit must be submitted
by the dealer to the carrier, and not Scorpion Sports, Inc. Also, always check on the number of packages delivered before
you sign for acceptance as sometimes packages may be separated or not delivered together.
Manufacturer’s suggested retail is in our catalog and price list. Scorpion Sports, Inc. will make every effort to limit price
changes and to notify dealers in advance. Scorpion Sports, Inc. does reserve the right to modify prices without notice.
Dealers remain free to establish their own in store sale prices for Scorpion Sports, Inc. products as outlined in our MAP
policy. Stocking Dealer pricing is determined by minimum purchase amount of $5,000 over the last 12 months.
Product returns will not be accepted without a Return Authorization Number. Products must be shipped to the Scorpion
Sports, Inc. CA Warehouse. All return freight costs are to be paid by the dealer. Products returned for credit must be in the
original undamaged packaging and in new, resalable condition. The standard returns/restocking charge is 10%. Failure to
comply can result in a 20% restocking fee.
In order to preserve the integrity of our brand, Scorpion Sports, Inc. does not permit the unauthorized use of Scorpion
Sports, Inc. logos, trademarks or service marks in any manner. Scorpion Sports, Inc. will reserve the right to terminate
any account that advertises Scorpion Sports, Inc. products in a manner inconsistent with the Scorpion Sports, Inc. brand
or image. Scorpion Sports, Inc. reserves the right, without assuming any liability, to cancel and refuse to accept new
orders from any dealer violating our MAP and Trademark policies.
Scorpion Sports, Inc. products are warranted to consumers against defects in materials and workmanship for a period
of 1-5 years (depending upon the product) from the original purchase date. The warranty is limited to the repair or
replacement of the product, as determined by Scorpion Sports, Inc. Normal wear and tear is not covered by this warranty.
Please obtain a Return Authorization number from Scorpion Sports, Inc. Customer Service before shipping the product to
Scorpion Sports, Inc. for inspection, freight to be paid by the dealer or consumer.
This warranty is expressly in lieu of all other warranties, and implied warranties, of merchant ability or fitness for a
particular purpose. Scorpion Sports, Inc. shall not be liable for any incidental or consequential damages.
All warranties are void if product is abused, crash damaged, modified or improperly used.
Scorpion Sports, Inc. reserves the right to refuse doing business with or cease selling products to any dealer for any
reason or no reason.
Manufacturer’s suggested retail prices and product specifications are subject to change without notice.
This agreement supersedes and replaces any previously signed agreement. Scorpion Sports Inc. reserves the right to
change this agreement at any time (including by amending any of its terms, adding new terms, and deleting or modifying
existing terms) with at least 15 days prior written notice.
Scorpion Sports, Inc. sales personnel have no authority to modify or create exceptions to these policies. All

By conducting business with Scorpion Sports, Inc, it is understood that the dealer acknowledges and accepts the terms
and conditions as specified in this document.
